1 Agreement Acceptance

By accessing or using DataFocusLabs services, you agree to be bound by these Terms of Use. These terms apply to all visitors, users, and others who access or use our NFT marketplace and platform development services. If you disagree with any part of these terms, you may not access our services.

Your use of our platform constitutes acceptance of these terms and our Privacy Policy. We reserve the right to refuse service to anyone for any reason at any time. These terms may be updated periodically, and continued use of our services indicates acceptance of any changes.

2 Service Description

DataFocusLabs provides NFT marketplace development and blockchain platform services to businesses and organizations. Our services include but are not limited to platform architecture, smart contract development, marketplace functionality, and technical consultation for NFT-related projects.

We provide these services based on client specifications and industry best practices. However, we do not guarantee specific business outcomes, transaction volumes, or marketplace success rates. Platform performance depends on various market factors beyond our control.

3 User Responsibilities

Users are responsible for providing accurate information during service engagement and maintaining the confidentiality of any access credentials provided. You agree to use our services only for lawful purposes and in accordance with applicable regulations.

4 Intellectual Property Rights

All content, features, and functionality of DataFocusLabs services, including but not limited to code, designs, text, graphics, and logos, are owned by DataFocusLabs and protected by copyright, trademark, and other intellectual property laws.

Clients retain ownership of their provided content and data. However, by using our services, you grant DataFocusLabs a limited license to use, modify, and display your content as necessary to provide the requested services. This license terminates when services are completed or terminated.

5 Privacy and Data Protection

We collect and process personal information in accordance with our Privacy Policy and applicable data protection regulations. By using our services, you consent to such collection and processing as described in our Privacy Policy.

Client data is handled with appropriate security measures and is not shared with third parties except as necessary to provide services or as required by law. We implement industry-standard security practices to protect sensitive information.

6 Service Limitations and Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that services will be uninterrupted, error-free, or meet specific performance criteria. Blockchain technology involves inherent risks and limitations.

While we strive to deliver high-quality solutions, we cannot guarantee specific business results, user adoption rates, or marketplace success. Platform performance depends on factors including market conditions, user behavior, and external technical dependencies.

7 Limitation of Liability

DataFocusLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability for any claims arising from or related to these services shall not exceed the amount paid by you for the specific services giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based.

8 Termination and Suspension

Either party may terminate service agreements with appropriate notice as specified in individual contracts. We reserve the right to suspend or terminate access to our services immediately if we determine that usage violates these terms or applicable laws.

Provisions of these terms that by their nature should survive termination shall remain in effect, including intellectual property rights, limitation of liability, and dispute resolution procedures.

9 Governing Law and Disputes

These Terms of Use shall be governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles. Any disputes arising from or relating to these terms or our services shall be resolved through binding arbitration in Da Lat, Vietnam.

Before initiating formal dispute resolution procedures, parties agree to engage in good faith negotiations to resolve any disagreements. If resolution cannot be reached within thirty days, either party may proceed with arbitration under the rules of the Vietnam International Arbitration Centre.
